Terms and Conditions

This Agreement is entered into by and between The Sunless Artist Institute™ (the “Disclosing Party”), along with its partnered entities and professionals including but not limited to Professional Sunless® and SoDesirable™ Sunless Tan, and the undersigned trainee (the “Receiving Party”).

1. Purpose

The Disclosing Party provides proprietary training, education, manuals, worksheets, client forms, and related resources (collectively, “Confidential Information”) to the Receiving Party for the sole purpose of professional development in spray tanning.

2. Intended Use of Information

All information provided by the Sunless Artist Institute™, Professional Sunless®, or affiliated entities is strictly for the individual trainee’s personal learning and use. It may not be copied, reproduced, discussed, or posted by any means — including verbal, written, digital, or social media platforms — unless express written permission is granted by the Sunless Artist Institute™ or Professional Sunless®.

3. Definition of Confidential Information

“Confidential Information” includes, without limitation:

All training manuals, worksheets, guides, and course materials, whether digital or physical.

Client intake forms, consent forms, or business tools distributed by the Sunless Artist Institute™ or its partnered professionals.

Proprietary methods, techniques, and trade secrets shared verbally, in writing, or electronically during training.

Any materials branded or associated with Professional Sunless®, SoDesirable™ Sunless Tan, or The Sunless Artist Institute™.

4. Proprietary Formulas and Product Development

All sunless formulas, professional products, and related information distributed or discussed by the Sunless Artist Institute™, Professional Sunless®, or SoDesirable™ Sunless Tan are considered proprietary and confidential.

This includes but is not limited to:

Existing formulas and product specifications.

Items provided for professional use or purchase.

New products, test samples, beta formulations, and developmental concepts.

Private conversations, demonstrations, or discussions regarding future product releases.

If the Receiving Party is selected to try or test a product prior to its public release, they acknowledge that participation is a privilege and agree that all details, performance feedback, and product characteristics are confidential. Such products and related information may not be shared, copied, disclosed, or discussed with any third party — in person, online, or through social media — without prior written consent of the Sunless Artist Institute™ or Professional Sunless®.

5. Content Creation and Media Ownership

Any and all content created by the Receiving Party as part of their training, participation, or collaboration with the Sunless Artist Institute™, Professional Sunless®, or SoDesirable™ Sunless Tan — including but not limited to assignments, homework submissions, training exercises, testimonials, marketing projects, photos, or videos — shall be considered the sole property of the Sunless Artist Institute™ and Professional Sunless®.

This applies whether the artist is:

A student completing coursework or homework assignments or just visiting the website.

An artist newly certified or in training.

A selected participant chosen to create or collaborate on content for the Institute or its affiliated brands.

Such content is not to be disclosed, shared, sold, or repurposed by the artist for any personal, commercial, or third-party use without prior written consent from the Sunless Artist Institute™ or Professional Sunless®.

6. Obligations of Receiving Party

The Receiving Party agrees that they shall NOT, at any time:

Share, copy, reproduce, photograph, scan, or distribute Confidential Information in any form, physical or digital.

Verbally or electronically disclose Confidential Information through social media platforms including but not limited to Facebook pages, Facebook groups, Instagram, TikTok, LinkedIn, YouTube, or similar channels.

Sell, transfer, loan, or otherwise make Confidential Information available to third parties.

The Receiving Party may only use Confidential Information for personal learning and professional application in their own spray tan services.

7. Intellectual Property

All Confidential Information remains the exclusive property of the Sunless Artist Institute™, Professional Sunless®, SoDesirable™ Sunless Tan, and affiliated professionals. Nothing in this Agreement grants the Receiving Party ownership rights or licenses to use trademarks, logos, or brand names.

8. Consequences of Breach

Any unauthorized disclosure, reproduction, or distribution of Confidential Information shall result in:

Immediate termination of training access.

Legal action, including but not limited to injunctive relief, damages, and recovery of attorney fees.

Revocation of any certifications, memberships, or privileges granted by the Sunless Artist Institute™.

9. Public Revocation

The Sunless Artist Institute™, Professional Sunless®, and SoDesirable™ Sunless Tan reserve the right to make public announcements regarding the revocation or suspension of certification. Such announcements may include, but are not limited to, removal from official directories, listings, or promotional materials, as well as notices posted on Institute websites, social media platforms, or partner communications. This ensures the public is not misled and protects the reputation of the Institute and its affiliated brands.

10. Term

This Agreement is binding with no expiration. Obligations of confidentiality survive indefinitely.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Sunless Artist Institute™ operates.

Acknowledgment & Signature

By signing below, or by checking a digital authorization box in connection with enrollment, I acknowledge that I have read, understood, and agree to abide by the terms of this Non-Disclosure Agreement.

I understand and agree that:

An online checkbox or digital acknowledgment shall carry the same legal effect as a handwritten signature.

My certification or license issued by the Sunless Artist Institute™, Professional Sunless®, or SoDesirable™ Sunless Tan may be revoked at any time if I am found negligent or in violation of this Agreement.

Upon such revocation, my authorization to use, purchase, or participate in any programs involving Professional Sunless® and SoDesirable™ Sunless Tan professional formulas will be immediately terminated.

Any content I create as a student, artist, or selected participant — including assignments, photos, videos, marketing materials, or collaborative projects — is the sole property of the Sunless Artist Institute™ and Professional Sunless® and may not be reused, disclosed, or repurposed without written consent
